Commercial Quotation Terms

1. Scope
These Terms govern every quotation OXXON issues for a Commercial Licence to OXXON AUDIT, OXXON VERIFY or OXXON FAST. They apply to new business, to mid-term additions and to renewals.
2. Quotation is manual
OXXON does not publish list prices and does not operate a self-service purchase path. Every quotation is prepared manually.
The licensing portal collects a request. It calculates nothing, quotes nothing, and communicates no price. No pricing logic exists in the platform: the software that receives a request neither computes nor stores a price, a discount, a currency or a total.
A price is a commercial decision taken by OXXON outside the platform and communicated in a written Quotation.
3. Requesting a quotation
A request is submitted through the commercial licensing portal at /licensing,
or by email to partners@oxxonadvisors.com.
The portal collects:

Each request is assigned a quotation reference of the form
OXQ-YYYYMMDD-XXXXXX, which is quoted on all subsequent correspondence,
Quotations and invoices relating to it.
Submitting a request creates no obligation on either party. It is a request for a Quotation, not an offer and not an order.
Requests are retained as a durable commercial record and are handled in accordance with OXL-01 Privacy Policy.
4. The Quotation
A Quotation issued by OXXON states:
- the quotation reference;
- the licensee entity to be named in the Licence File;
- the Products licensed;
- the number of Seats;
- the deployment model, including whether fulfilment is by the offline route;
- the Licence Term and its commencement date;
- the fee, the currency, and whether taxes are included or additional;
- the validity period of the Quotation; and
- that the Quotation is subject to these Terms and to OXL-05 Commercial Licence Agreement.
5. Validity
A Quotation is valid for thirty (30) days from its date of issue, unless it states a different period.
After expiry OXXON may reissue the Quotation on the same terms, or on revised terms, at its discretion.
6. Nature of a Quotation
A Quotation is an invitation to treat, not a binding offer, unless it expressly states that it is a binding offer.
A contract is formed only when OXXON issues a Licence File following receipt of cleared payment against an accepted Quotation. Acceptance of a Quotation by the Customer, and issue of an invoice by OXXON, do not by themselves form a contract for supply.

7. Accuracy and error
A Quotation is prepared from the information the Customer supplies. Where that information is incomplete or inaccurate — in particular the seat count, the licensee entity, or the deployment model — OXXON may withdraw or revise the Quotation.
OXXON may correct a manifest error in a Quotation, including a clerical or arithmetical error, at any time before a Licence File is issued. A Customer who knew, or ought reasonably to have known, that a stated price was an error may not hold OXXON to it.
8. Currency, taxes and duties
The currency is stated in the Quotation.
Fees are stated exclusive of all taxes, duties and levies unless the Quotation states otherwise. Goods and Services Tax, value added tax, sales tax, withholding tax and any equivalent charge are the Customer's responsibility and are added to the invoice where OXXON is required to collect them.
Where the Customer is required by law to withhold tax from a payment, the Customer must gross up the payment so that OXXON receives the full invoiced amount, and must provide the relevant withholding certificate.
Bank charges, intermediary bank charges and currency conversion costs are the Customer's responsibility. OXL-08 Payment Terms applies.
9. Purchase orders
Where the Customer's procurement process requires a purchase order, the Customer should provide the purchase order number so that OXXON can quote it on the invoice.
Terms and conditions printed on, referenced by, or attached to a purchase order have no effect and do not vary OXL-05 Commercial Licence Agreement. Variation requires a written instrument executed by both parties.
10. Enterprise terms
Enterprise customers may negotiate separate contractual terms alongside a Quotation, including bespoke commercial terms, data-processing terms, security schedules, or a different governing law and forum.
Such terms take effect only where executed in writing by both parties. Where executed, they prevail over these Terms and over OXL-05 to the extent of any inconsistency.

11. Confidentiality
A Quotation, its contents and its pricing are OXXON's confidential information and are provided for the Customer's internal evaluation only. The Customer must not disclose them to any third party other than its professional advisers, without OXXON's prior written consent.
12. Governing law
These Terms are governed by the laws of India, and Section 19 of OXL-05 Commercial Licence Agreement governs jurisdiction.
