Licence Renewal Policy

1. Scope
This Policy governs renewal of a Commercial Licence for OXXON AUDIT, OXXON VERIFY and OXXON FAST. It forms part of OXL-05 Commercial Licence Agreement.
2. Principle: no automatic renewal
A Commercial Licence does not renew automatically.
OXXON does not retain a payment instrument, does not operate a subscription billing system, and will not charge a Customer without a fresh instruction. Renewal is an affirmative commercial act: a Customer decides to renew, a Quotation is issued, an invoice is paid, and a new Licence File is delivered.
A Customer who does nothing is not charged and is not enrolled in anything.
3. Licence Term
The standard Licence Term is twelve (12) months from the commencement date stated in the Quotation, unless the Quotation states otherwise.
The expiry date is encoded in the Licence File and is verified by the software offline. The software displays the expiry date in its title bar and records the licence type and identifier in every Technical Manifest.
4. Renewal timeline

| On cleared payment | A new Licence File is issued and delivered. |
| On import | The new Licence File replaces the previous one. No reinstallation is required. |
The dates above are OXXON's operating commitment, not a condition of renewal. A Customer may initiate a renewal at any time by contacting partners@oxxonadvisors.com.
5. Grace period
A Licence File carries a grace period following its expiry date. The default is 14 days.
During the grace period:
- the software continues to operate without restriction;
- the licence status is displayed as expired and in grace; and
- no functionality is withdrawn, degraded or throttled.
The grace period exists so that an expiry falling across a procurement cycle, an audit season or a holiday does not stop work. It is not an extension of the Licence Term and no additional entitlement arises from it.
At the end of the grace period, where no new Licence File has been imported, the software declines to begin a new run and states the reason.
6. Lapse
Where a Commercial Licence expires and the grace period ends without renewal:
- The software stops beginning new runs. It does not uninstall itself.
- Every report, findings dataset and Technical Manifest already produced remains in the Customer's output folder, remains readable, and remains the Customer's property. Nothing is deleted, disabled, locked, degraded or revoked. This is unconditional.
- Website-delivered Product access ceases at expiry of the grace period. For OXXON FAST, sealed assessments are retained under the retention period in force (90 days by default) and the Customer should export any record it wishes to keep before that period ends.
- Configuration, settings and trial state are untouched.
7. Reinstatement after lapse
A lapsed Customer may return at any time. There is no reinstatement fee and no penalty.
A new Licence File is issued for a fresh twelve-month term commencing on the date of issue. Lapsed periods are not backdated and are not charged for. A Customer who lapses for four months and then renews pays for twelve months forward, not sixteen.
8. Changes at renewal
At renewal a Customer may:
- change the number of Seats, up or down;
- add or remove Products;
- change the deployment model, including moving to or from an air-gapped arrangement; or
- change the licensed entity, subject to OXXON's confirmation.
Each change is reflected in the renewal Quotation and priced accordingly.
9. Mid-term changes
Additional Seats may be purchased at any time during a Licence Term. They are priced pro-rata to the remainder of the current term and are co-terminous with it, so that the whole entitlement renews on one date.
Reduction in Seats takes effect at renewal only. Fees paid for the current term are not refunded on a mid-term reduction. See OXL-09 Refund Policy.
Seat reassignment — moving an existing Seat between computers or individuals — is not a commercial change, carries no fee, and is handled by reissue of the Licence File under OXL-05 Section 5.3.
10. Price changes
OXXON may change its prices. A price applicable to a renewal is the price stated in the renewal Quotation.
Where the renewal price for the same Product and Seat count exceeds the expiring term's price, OXXON will state the change and its reason in the renewal Quotation rather than presenting the new figure without comment.
11. Non-renewal by OXXON
OXXON may decline to offer renewal. Where it does so, OXXON will give notice no later than 45 days before expiry, and Section 6 governs the consequences. No reason need be given, but OXXON will not withdraw a Customer's existing output in any circumstances.
12. Governing law
This Policy is governed by the laws of India, and Section 19 of OXL-05 Commercial Licence Agreement governs jurisdiction. Enterprise customers may negotiate separate renewal terms in writing.
