1. Acceptance
These Terms govern your access to and use of the OXXON website and every service made available through it. By accessing the website you agree to be bound by them. If you do not agree, do not use the website.
Where you access the website on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" means that organisation.
2. What these Terms cover, and what they do not
These Terms govern the website itself and the website-delivered products.
They do not govern:
- use of OXXON AUDIT in its Windows desktop edition under a Desktop Trial, which is governed by OXL-04 Evaluation Licence Agreement;
- use of any product under a Commercial Licence, which is governed by OXL-05 Commercial Licence Agreement; or
- the desktop software itself, which is governed by OXL-03 Desktop End User Licence Agreement.
Where these Terms conflict with a Commercial Licence Agreement executed between you and OXXON, the Commercial Licence Agreement prevails.
3. The website and its products
The website provides marketing material, the Knowledge Centre, a commercial licensing portal, downloads, and access to two website-delivered products:
- OXXON VERIFY — access to an evaluation run is gated on a business email address. One free run is available per email address. This is a single-use entitlement, not a recurring free tier.
- OXXON FAST — requires an account. Output is retained as a durable record.
OXXON AUDIT is offered both as a structural check on the website and as a Windows desktop application available for download.
We may change, suspend or withdraw any part of the website or any website-delivered product at any time. We do not guarantee that the website will be available uninterrupted or error-free.
4. Acceptable use
Your use of the website is subject to OXL-16 Acceptable Use Policy, which forms part of these Terms. In summary, and without limiting that document, you must not:
- upload material you are not entitled to disclose to us;
- attempt to circumvent the evaluation gate, the rate limits, or any access control;
- probe, scan or test the vulnerability of the website without our prior written authorisation;
- use automated means to access the website other than a well-behaved indexing
crawler observing
robots.txt; - reproduce, resell or systematically extract the Knowledge Centre or any substantial part of it; or
- use the website to develop a competing product.
5. Material you upload
You retain all rights in any workbook or file you upload. You grant us only the limited, non-exclusive right to process that file for the purpose of producing the output you requested, and for no other purpose.
You represent that you have the right to upload the file and to permit us to process it, and that doing so does not breach any obligation of confidentiality you owe to a third party.
Website-delivered products process uploaded files on OXXON servers. If your obligations do not permit a model to leave your own environment, use the desktop edition of OXXON AUDIT, which processes locally and transmits nothing. See OXL-11 Security & Privacy Statement.
6. Output, and what it means
Output produced by any OXXON product is a statement about the structural mechanics of a workbook. It states whether figures within the scope examined conform to the checks the registered rule pack performed.
It is not, and must not be represented as:
- an audit opinion;
- a regulated assurance engagement or any part of one;
- investment, legal, accounting or tax advice;
- validation of commercial, market or modelling assumptions;
- a statement that any transaction is sound; or
- a substitute for professional judgement or human review.
Structural cleanliness is a necessary but not a sufficient condition for a
model to be relied upon. The full statement of scope is published at
/trust/limitations and is incorporated here by reference.
7. Intellectual property
The website, its content, the Knowledge Centre, the rule libraries, the scoring methodology, the report templates and the software are owned by OXXON or its licensors and are protected by intellectual property law. See OXL-13 Copyright & Intellectual Property Notice.
No right is granted by these Terms other than the right to view the website and use the products in accordance with the applicable licence.
Reports produced for you are yours to use within your organisation and to provide to your professional advisers and counterparties. You may not remove or alter any identifier, reference, fingerprint or provenance statement that a report or Technical Manifest carries.
8. Third-party links
The website links to third-party resources. We do not control them, do not endorse them, and accept no responsibility for them.
9. Disclaimer
The website and the website-delivered products are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by applicable law.

10. Limitation of liability
Our liability arising out of or in connection with the website and the website-delivered products is limited as set out in OXL-17 Disclaimer & Limitation of Liability. In respect of the website and any free or evaluation use, our aggregate liability is limited to INR 10,000 (ten thousand Indian Rupees).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable law.
11. Indemnity
You will indemnify us against any claim, loss or expense arising from your breach of these Terms, from material you upload, or from your use of any output in a manner inconsistent with Section 6.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or in connection with them.
Enterprise customers may negotiate separate contractual terms, including a different governing law and forum, in a Commercial Licence Agreement or master agreement executed with OXXON. Where such terms have been agreed, they prevail over this Section.
Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence, where such protection applies.
13. Changes to these Terms
We may amend these Terms. The version and issue date at the head of this document identify the current text. Continued use of the website after an amendment constitutes acceptance of it.
